Terms of Service

These Terms of Service (“Terms”) govern your access to and use of LodgingOs — the software, applications, booking engine, hosted hotel websites, and related services (the “Service”) provided by LodgingOs (“LodgingOs,” “we,” “us”). By creating an account or using the Service, you (“Customer,” “you”) agree to these Terms. If you are agreeing on behalf of a hotel or company, you represent that you may bind it.
1. The Service
LodgingOs provides hotel-operations software, including property management, a direct-booking engine and hosted website, OTA/channel management, guest messaging, self check-in and identity verification, and payment tooling. We may add, change, or remove features over time.
2. Accounts and eligibility
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be able to form a binding contract and use the Service only for lawful business purposes.
3. Your responsibilities
- the accuracy of the rates, availability, content, and policies you publish;
- obtaining any consents and providing any notices required to collect and process your guests’ personal data (including ID images) through the Service;
- complying with the laws that apply to your hotel — including lodging, tax, guest-registration, consumer, payment-card, and privacy laws; and
- your communications with guests sent through the Service.
4. Fees and payment
Subscription fees and any usage charges are as described in your plan or order at signup. Unless stated otherwise, fees are billed in advance, are non-refundable except where required by law, and may change on renewal with notice. You are responsible for applicable taxes.
5. Guest payments and Stripe Connect
Guest payments collected through the Service run on each hotel’s own payment account (via Stripe Connect). The hotel is the merchant of record for its guest transactions and is responsible for chargebacks, refunds, and payout details. LodgingOs is not a party to the transaction between a hotel and its guest and is not a bank, payment processor, or money transmitter.
6. Third-party services
The Service connects to third parties (e.g. Stripe, Twilio, Vapi, OTAs via Channex, and AI providers). Your use of those connections may be subject to their terms, and we are not responsible for third-party services. OTA bookings and payouts are governed by your agreements with those channels.
7. Acceptable use
You will not misuse the Service, including: breaking the law; infringing others’ rights; uploading malware; attempting to breach security or access other tenants’ data; reverse-engineering the Service; or using it to send unlawful or unsolicited messages. We may suspend accounts that put the Service, its data, or other customers at risk.
8. Data and privacy
Our handling of personal data is described in the Privacy Policy. As between you and LodgingOs, you retain your business and guest data; you grant us the rights needed to host and process it to provide the Service. We process guest personal data on your behalf as described in the Privacy Policy.
9. Intellectual property
LodgingOs and its software, design, and content are owned by LodgingOs and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You own the content you add; you grant us a license to host and display it to operate the Service (including your hosted website and booking pages).
10. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
11. Limitation of liability
To the fullest extent permitted by law, LodgingOs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim arising out of the Service will not exceed the amounts you paid us for the Service in the 12 months before the claim.
12. Indemnification
You will defend and indemnify LodgingOs against claims arising from your use of the Service, your content, your guest data practices, or your breach of these Terms, to the extent permitted by law.
13. Term and termination
These Terms apply while you use the Service. Either party may terminate as described in your plan; we may suspend or terminate for breach or risk to the Service. On termination you may request an export of your data for a reasonable period, after which we may delete it per our retention practices.
14. Changes to these Terms
We may update these Terms. We will post the updated version with a new “Last updated” date and, for material changes, notify customers. Continued use after changes take effect means you accept them.
15. Governing law
These Terms are governed by the laws of the State in which LodgingOs is established, in the United States, without regard to conflict-of-laws rules.
